1. ACCEPTANCE OF TERMS

By accessing or using the ServiceLine Pro website (servicelinepro.com), booking a strategy call, or engaging our services, you (“Client,” “you,” or “your”) agree to be bound by these Terms & Conditions. If you do not agree to these terms, you may not use our services.

These Terms & Conditions constitute a legally binding agreement between you and ServiceLine Pro LLC (“ServiceLine Pro,” “we,” “us,” or “our”).

ServiceLine Pro specializes in digital marketing services for home service businesses, including but not limited to HVAC, plumbing, roofing, construction, and waste management companies. Our core services include:

3.1 Pay-Per-Ranking (PPR) SEO Services

Service Description:

Strategic selection of 15 high-value, buyer-intent keywords specific to your market

Complete technical SEO audit and implementation

On-page optimization to establish authority with search engines

Ongoing monitoring and optimization to achieve and maintain Page 1 rankings

Performance-Based Pricing Model:

You pay an upfront onboarding fee to cover initial setup, audit, and implementation

After onboarding, you pay ZERO monthly fees until your keywords rank on Page 1 of Google

Once keywords achieve Page 1 rankings, pricing is based on ranking position

Lower rankings result in lower payments; higher rankings result in higher payments

You only pay for measurable results

Timeline Expectations:

Typical results begin showing within 60-90 days from project start

Timeline may vary based on market competition, current website status, and keyword difficulty

We do not guarantee specific ranking positions or timelines, but we only charge when results are delivered

3.2 Google Ads Management ($0 Agency Fee Model)

Service Description:

Professional ad campaign creation, management, and optimization

Exclusive Spectrum partnership providing access to Google, Bing, and Yahoo networks

Advanced targeting using first-party data and AI optimization

Ongoing campaign monitoring and performance improvements

Average performance improvements: 30%+ higher click-through rates, 30%+ lower cost-per-click

Zero Agency Fee Model:

We charge $0 in agency fees or management fees

You pay only for ad spend directly to the advertising platforms

Our revenue comes from performance optimization and partnership benefits, not from charging you additional fees

All ad spend goes directly to running your campaigns

Timeline Expectations:

Campaigns typically launch within 48-72 hours of onboarding completion

Lead generation typically begins within 48 hours of campaign launch

3.3 Website Design & Development

Custom website design tailored to home service businesses

Mobile-responsive and optimized for conversions

SEO-friendly architecture and technical implementation

Ongoing maintenance and updates as needed

3.4 SMS Marketing Services (Optional Add-On)

Automated text messaging campaigns for customer engagement

Appointment reminders and follow-ups

Marketing promotions and special offers

Two-way SMS communication capabilities

Full compliance with A2P 10DLC regulations (see Section 5)

3.5 Additional Services

ServiceLine Pro may offer additional marketing services, tools, or solutions on a case-by-case basis. Any additional services will be outlined in a separate Service Agreement or Statement of Work.


4. PAYMENT TERMS & PERFORMANCE GUARANTEES

4.1 Pay-Per-Ranking SEO Payment Structure

Onboarding Fee:

A one-time onboarding fee is required to begin PPR SEO services

This fee covers initial audit, keyword research, technical implementation, and setup

Onboarding fees are non-refundable once work has commenced

Performance-Based Monthly Fees:

You pay $0 in monthly fees until your selected keywords rank on Page 1 of Google

Once keywords achieve Page 1 rankings, monthly fees are calculated based on:
Number of keywords ranking on Page 1Position of each keyword (e.g., position #1 costs more than position #10)Market competition and keyword value

Specific pricing will be outlined in your Service Agreement

Payment Terms:

Performance fees are billed monthly in arrears (you pay for the previous month’s rankings)

Invoices are due within 15 days of receipt

Accepted payment methods: ACH transfer, credit card, wire transfer

4.2 Google Ads Payment Structure

Ad Spend:

You are responsible for all advertising costs paid directly to Google, Bing, Yahoo, or other advertising platforms

Ad spend budgets are determined during onboarding and can be adjusted at any time

We recommend minimum ad spend budgets based on your market and goals

Agency Fees:

ServiceLine Pro charges $0 in agency fees or management fees

There are no hidden fees, setup fees, or monthly retainers for Google Ads management

All costs are transparent and outlined in your Service Agreement

Payment Terms:

Ad spend is typically billed directly by the advertising platform to your payment method

In some cases, ServiceLine Pro may bill ad spend on behalf of the platform; terms will be clearly outlined

4.3 Website Design & Other Services

Pricing for website design and other services will be outlined in a separate Service Agreement or proposal

Payment terms vary by project scope and will be clearly communicated before work begins

4.4 Late Payments

Late payments may incur a fee of 1.5% per month (18% annually) or the maximum allowed by law, whichever is less

Services may be paused or suspended for accounts with overdue balances exceeding 30 days

We reserve the right to terminate services for non-payment


5. SMS MESSAGING PROGRAM TERMS (A2P 10DLC COMPLIANCE)

If you opt into our SMS Marketing Services, the following terms apply:

5.1 Program Description

ServiceLine Pro offers SMS messaging services to help you communicate with your customers via text message. Our SMS program includes:

Transactional Messages: Appointment confirmations, reminders, service updates, and customer support

Marketing Messages: Promotional offers, special discounts, company updates, and marketing campaigns

All SMS messages are sent via A2P (Application-to-Person) 10DLC messaging channels and comply with CTIA guidelines, TCPA regulations, and carrier requirements.

Message Sender: Messages will be sent from ServiceLine Pro LLC on behalf of your business.

5.2 Opt-In Consent

Express Written Consent Required:

You must obtain express written consent from each recipient before sending them SMS messages

Consent must be clear, conspicuous, and separate from other terms and conditions

Recipients must affirmatively opt-in (e.g., by checking a box, texting a keyword, or submitting a form)

Consent is Not Required to Purchase:

Opting into SMS messages is NOT a condition of purchasing any goods or services from you or ServiceLine Pro

Customers can do business with you without subscribing to SMS messages

Your Responsibilities:

You are responsible for obtaining proper consent from all SMS recipients

You must maintain records of consent for all subscribers

You agree to only send messages to individuals who have explicitly opted in

5.3 Message Frequency

Message frequency varies depending on your campaign settings and customer interactions

Transactional messages are sent as needed based on appointments and service activities

Marketing messages are sent according to your campaign schedule (typically 1-4 messages per month)

Frequency may vary and is determined by you and your business needs

5.4 Message & Data Rates

Message and data rates may apply based on the recipient’s mobile carrier plan

ServiceLine Pro does not charge recipients for receiving messages

Recipients are responsible for any charges from their mobile carrier

5.5 Opt-Out Instructions

Recipients can opt-out of SMS messages at any time by:

Replying STOP, END, CANCEL, UNSUBSCRIBE, or QUIT to any message

Once a recipient opts out, they will no longer receive SMS messages unless they opt back in.

5.7 Supported Carriers

Our SMS program supports all major U.S. carriers, including but not limited to:

AT&T, Verizon Wireless, T-Mobile, Sprint, U.S. Cellular, Boost Mobile, MetroPCS, Virgin Mobile, and others

Messages may not be delivered to all carriers or in all regions

5.8 A2P 10DLC Compliance & TCPA

ServiceLine Pro is registered with The Campaign Registry (TCR) for A2P 10DLC messaging and complies with:

Telephone Consumer Protection Act (TCPA)

CTIA Messaging Principles and Best Practices

FCC Regulations for commercial text messaging

Carrier-specific policies (AT&T, Verizon, T-Mobile, etc.)

All SMS campaigns are vetted and approved through TCR before launch.

5.9 Prohibited Uses

You agree NOT to use our SMS services for:

Sending unsolicited messages (spam)

Phishing, fraud, or deceptive practices

Illegal activities or prohibited content

Messages containing hate speech, violence, or adult content

Loan offers, debt collection, or high-risk financial services (unless pre-approved)

Cannabis, CBD, or other restricted products (unless pre-approved)

Violation of these terms may result in immediate suspension of SMS services and termination of your account.

5.10 Age Requirement

You must be at least 18 years of age to opt-in to our SMS messaging program. By providing your mobile phone number and opting in to receive SMS messages, you confirm that you are 18 years of age or older and have the legal capacity to enter into this agreement.

Our SMS services are not intended for individuals under 18 years of age. If we become aware that a person under 18 has opted into our SMS program, we will immediately remove them from our messaging list and delete their information.

If you are a parent or guardian and believe your child under 18 has provided their phone number to our SMS program, please contact us immediately at [email protected] or (813) 521-3199, and we will promptly remove them from our system.
5.11 Carrier Liability Disclaimer

ServiceLine Pro and mobile carriers (including but not limited to AT&T, Verizon, T-Mobile, Sprint, US Cellular, and other participating carriers) are not liable for delayed or undelivered messages.

You acknowledge and agree that:

• Message delivery is not guaranteed and may be subject to delays, failures, or errors
• Mobile carriers are not responsible for the content of messages sent by ServiceLine Pro
• Mobile carriers are not liable for any damages, claims, or losses arising from SMS messages
• Delivery times may vary based on network conditions, carrier policies, and technical factors
• Messages may be blocked, filtered, or delayed by carriers without notice
• ServiceLine Pro is not responsible for carrier network outages, technical issues, or service interruptions

Mobile carriers reserve the right to:
• Block or filter messages at their discretion
• Modify message content for technical or compliance reasons
• Suspend or terminate message delivery without prior notice
• Change their policies, fees, or technical requirements at any time

By opting into our SMS program, you release and hold harmless ServiceLine Pro and all mobile carriers from any liability related to message delivery, content, timing, or technical issues.

6. CONTRACT TERMS & CANCELLATION

6.1 Minimum Commitment Period

All ServiceLine Pro services require a minimum 6-month commitment from the date services commence.

Why 6 Months:

SEO requires time to show results (typically 60-90 days)

Google Ads campaigns require optimization and data collection

This commitment ensures sufficient time to deliver measurable results

6.2 Early Termination

If you choose to cancel services before the end of the 6-month minimum commitment period:

For PPR SEO Services:

You must pay the remaining months’ performance fees based on current ranking positions

If no rankings have been achieved, early termination fees may apply as outlined in your Service Agreement

For Google Ads Services:

You must pay any outstanding ad spend and fees for the remaining commitment period

Campaigns will be paused, and access will be transferred to you

For All Services:

Early termination must be requested in writing via email to [email protected]

Onboarding fees and any work completed are non-refundable

You remain responsible for any outstanding invoices

6.3 Cancellation After Minimum Commitment

After the initial 6-month commitment period, either party may cancel services with 30 days’ written notice.

To Cancel:

Include your business name, contact information, and requested cancellation date

All outstanding invoices must be paid before cancellation is finalized

6.4 Termination by ServiceLine Pro

We reserve the right to terminate services immediately if:

You violate these Terms & Conditions

You engage in fraudulent, illegal, or unethical activities

You fail to pay invoices within 60 days of the due date

You provide false or misleading information

You use our services in a way that harms our reputation or violates regulations


7. INTELLECTUAL PROPERTY

7.1 ServiceLine Pro Property

All materials, tools, processes, methodologies, software, and proprietary systems developed or used by ServiceLine Pro remain the exclusive property of ServiceLine Pro LLC. This includes but is not limited to:

Marketing strategies and campaign structures

SEO techniques and processes

Ad copy, creative assets, and campaign templates

Analytics dashboards and reporting tools

Any proprietary software or systems

7.2 Client Property

You retain ownership of:

Your business name, logo, and trademarks

Content you provide to us (photos, videos, testimonials, etc.)

Your customer data and contact lists

7.3 License to Use Client Materials

By engaging our services, you grant ServiceLine Pro a non-exclusive, royalty-free license to use your business name, logo, content, and materials solely for the purpose of delivering services to you.

7.4 Work Product

Upon full payment of all fees:

You own the final deliverables created specifically for you (e.g., website design, ad copy, content)

You do NOT own the underlying processes, methodologies, or systems used to create those deliverables

ServiceLine Pro retains the right to reuse strategies, templates, and techniques for other clients


8. CONFIDENTIALITY

8.1 Confidential Information

Both parties agree to keep confidential any proprietary or sensitive information shared during the course of our business relationship, including:

Business strategies and marketing plans

Customer data and contact lists

Financial information

Proprietary processes and methodologies

8.2 Exceptions

Confidential information does not include information that:

Is publicly available

Was known prior to disclosure

Is independently developed

Must be disclosed by law or court order


9. RESULTS DISCLAIMER

9.1 No Guaranteed Results

While ServiceLine Pro uses proven strategies and best practices, we cannot guarantee specific results, including but not limited to:

Specific search engine rankings

Specific amounts of traffic, leads, or revenue

Specific return on investment (ROI)

Specific timelines for achieving results

For PPR SEO: We only charge when keywords rank on Page 1, but we do not guarantee that all keywords will rank or how long it will take.

For Google Ads: We optimize for performance, but results depend on many factors including budget, market competition, and your business’s ability to convert leads.

9.2 Factors Beyond Our Control

Results may be affected by factors outside our control, including:

Search engine algorithm changes

Competitor activities

Market conditions and seasonality

Your business operations, pricing, and customer service

Your ability to respond to leads and close sales

9.3 Case Studies & Testimonials

Any case studies, testimonials, or results mentioned on our website or marketing materials represent specific client experiences and should not be interpreted as a guarantee of similar results for your business.


10. PRIVACY & DATA PROTECTION

Your privacy is important to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms & Conditions by reference.

11. THIRD-PARTY SERVICES

11.1 Third-Party Platforms

Our services may involve the use of third-party platforms and tools, including but not limited to:

Google Ads, Google Analytics, Google Search Console

Bing Ads, Yahoo Ads

SMS messaging platforms and carriers

Website hosting providers

CRM and marketing automation tools

11.2 Third-Party Terms

Your use of third-party platforms is subject to their respective terms of service and privacy policies. ServiceLine Pro is not responsible for the actions, policies, or performance of third-party services.

11.3 Third-Party Fees

You are responsible for any fees charged directly by third-party platforms (e.g., Google Ads spend, hosting fees, domain registration).


12. LIMITATION OF LIABILITY

12.1 Maximum Liability

To the fullest extent permitted by law, ServiceLine Pro’s total liability for any claims arising from or related to our services shall not exceed the total amount you paid to ServiceLine Pro in the 6 months immediately preceding the claim.

12.2 Excluded Damages

ServiceLine Pro shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including but not limited to:

Lost profits or revenue

Lost business opportunities

Lost data

Cost of substitute services

Damage to reputation

This limitation applies even if ServiceLine Pro has been advised of the possibility of such damages.

12.3 Service Interruptions

We are not liable for any delays, interruptions, or failures in service delivery caused by:

Third-party platform outages or issues

Internet service provider problems

Search engine algorithm changes

Force majeure events (natural disasters, pandemics, war, etc.)

Actions or inactions of third parties


13. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless ServiceLine Pro LLC, its officers, directors, employees, agents, and contractors from any claims, damages, losses, liabilities, and expenses (including reasonable attorney fees) arising from:

Your use of our services

Your violation of these Terms & Conditions

Your violation of any laws or regulations

Your violation of third-party rights (including intellectual property rights)

Content you provide to us

Your SMS marketing practices or failure to obtain proper consent

Any false or misleading information you provide


14. DISCLAIMERS

14.1 “As Is” Services

Our services are provided on an “as is” and “as available” basis without warranties of any kind, either express or implied, including but not limited to:

Warranties of merchantability

Fitness for a particular purpose

Non-infringement

Accuracy, reliability, or completeness

14.2 No Guarantee of Uptime

We do not guarantee uninterrupted, timely, secure, or error-free service delivery.

14.3 External Factors

We do not control and are not responsible for:

Search engine algorithms or ranking factors

Advertising platform policies or changes

Carrier policies for SMS messaging

Third-party service availability or performance


15. DISPUTE RESOLUTION

15.1 Governing Law

These Terms & Conditions shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law principles.

15.2 Informal Resolution

Before initiating any formal legal action, both parties agree to attempt to resolve disputes informally by contacting:

We will work in good faith to resolve any disputes within 30 days.

15.3 Binding Arbitration

If informal resolution fails, any disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association (AAA). Arbitration shall take place in Tampa, Florida.

Exceptions: Either party may seek injunctive relief in court for intellectual property disputes or breaches of confidentiality.

15.4 Class Action Waiver

You agree to resolve disputes with ServiceLine Pro on an individual basis only. You waive any right to participate in class action lawsuits or class-wide arbitration.


16. GENERAL PROVISIONS

16.1 Entire Agreement

These Terms & Conditions, together with our Privacy Policy and any Service Agreements or Statements of Work, constitute the entire agreement between you and ServiceLine Pro and supersede all prior agreements, understandings, and communications.

16.2 Amendments

ServiceLine Pro reserves the right to modify these Terms & Conditions at any time. Changes will be effective immediately upon posting to our website with an updated “Last Updated” date. Your continued use of our services after changes are posted constitutes acceptance of the modified terms.

For material changes, we will make reasonable efforts to notify active clients via email.

16.3 Severability

If any provision of these Terms & Conditions is found to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.

16.4 Waiver

Our failure to enforce any provision of these Terms & Conditions shall not constitute a waiver of that provision or any other provision.

16.5 Assignment

You may not assign or transfer your rights or obligations under these Terms & Conditions without our prior written consent. ServiceLine Pro may assign or transfer its rights and obligations at any time without notice.

16.6 Survival

Provisions that by their nature should survive termination shall survive, including but not limited to: payment obligations, intellectual property rights, confidentiality, limitation of liability, indemnification, and dispute resolution.

16.7 Force Majeure

ServiceLine Pro shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, pandemics, government actions, labor disputes, or failures of third-party services.

16.8 Relationship of Parties

Nothing in these Terms & Conditions creates a partnership, joint venture, employment, or agency relationship between you and ServiceLine Pro. You are an independent client engaging our services.
